Terms of use

These Terms of Use govern access to and use of the ELALAN customer account and related online customer services provided by ELALAN Construction Company Limited ("ELALAN", "we", "us" or "our"). They operate together with any property-specific reservation form, offer, allocation, sale agreement, payment plan, invoice, receipt, project document or other transaction document issued to you.

1. Agreement and eligibility

By creating an account, completing onboarding and using the customer services, you agree to these Terms of Use. You must provide accurate information, have legal capacity to use the services and use the account only for lawful purposes.

If you use the account on behalf of another person or organisation, you confirm that you are authorised to do so. ELALAN may request evidence of authority before acting on instructions that affect a property, payment or customer record.

2. Your account and security

• You are responsible for keeping your password, verification codes and devices secure.
• You must not share access in a way that allows an unauthorised person to act as you.
• You must keep your contact and identity information reasonably current so that security and transaction notices reach you.
• You should sign out when using a shared or public device and promptly report suspected unauthorised access.
• ELALAN may require email, phone, identity/KYC or additional security verification before allowing sensitive actions.

ELALAN may revoke or restrict sessions, require re-authentication, or temporarily limit account access where reasonably necessary to protect the customer, ELALAN, a transaction or the service.

3. Property information, prices and availability

Property and project pages may contain descriptions, images, floor/unit information, indicative or current pricing, location information, availability states and other commercial information. We aim to keep this information accurate, but property inventory is dynamic.

A unit displayed as available is still subject to authoritative availability checks, holds, active reservations, allocation activity, assignment status and other transaction controls. A displayed price or availability state is not a binding offer unless ELALAN expressly states otherwise in a formal transaction document.

Images, plans, dimensions, renders and descriptive materials may be illustrative. Final specifications, legal interests, title information, completion dates and property obligations are governed by the relevant formal documents.

4. Interests, reservations, allocation preferences and waitlists

Saved interests

Saving an interest records that you are interested in a property. It does not reserve inventory or create ownership rights.

Reservations

A reservation request records your selected property/unit and begins the applicable reservation workflow. Reservation acceptance, duration, commitment fees, approval requirements, expiry, cancellation and conversion to an assignment are subject to the reservation status and the applicable transaction documents.

Submitting a reservation does not by itself transfer title or create a completed sale. The portal may show a reservation as submitted, under review, approved, expired, cancelled, declined or converted depending on the authoritative business state.

Allocation preferences

Where available, the unit used for the reservation remains the primary allocation preference. You may add eligible alternative units from the same listing as ranked preferences. A preference is an instruction for ELALAN's allocation process; it is not a guarantee that the unit will be assigned to you.

Waitlists

Where a unit is unavailable, ELALAN may allow you to join a waitlist. A waitlist entry records your interest in that unavailable unit and does not guarantee future availability, priority, allocation or assignment. ELALAN may contact you if availability changes.

Assignments

When a unit is assigned to you, the portal may create or display a connected property account, payment plan, schedule and customer journey. The legal effect of an assignment is determined by the transaction records and documents issued by ELALAN.

5. Payments, billing and financial records

• Use the payment reference and payment instructions connected to the relevant billing or schedule item.
• Do not rely on bank details received from an unverified source. Use only payment instructions published through an authorised ELALAN channel.
• Uploading a payment proof does not itself mean that a payment has been received or confirmed.
• A payment remains subject to reconciliation and verification until the ELALAN record shows the applicable confirmation.
• Payment-plan totals, instalment dates, overdue status and balances are governed by the applicable plan and underlying transaction documents.

If there is a discrepancy between a payment you made and the portal record, contact ELALAN and provide the relevant reference and evidence so the transaction can be investigated.

6. Documents, statements and electronic notices

The portal may make letters, receipts, statements, invoices, project updates, payment confirmations and other documents available electronically. You are responsible for reviewing documents connected to your account and keeping copies where appropriate.

You agree that ELALAN may provide account and transaction notices electronically where permitted, using your verified contact channels and in-account notifications. Your communication preferences affect optional and non-urgent delivery choices, but essential security, legal and transaction communications may still be sent where necessary.

7. Information, notes and files you submit

You are responsible for the accuracy and lawfulness of information you provide, including identity/KYC files, reservation notes, allocation-preference notes, waitlist notes, payment evidence, clarification responses and support messages.

You must not upload malicious code, unlawful material, forged documents, information you are not authorised to provide, or files that infringe another person's rights. ELALAN may reject, quarantine or remove a file where reasonably necessary for security, legal compliance or transaction integrity.

8. Acceptable use

You must not:

• attempt to access another customer's account or data;
• circumvent authentication, authorisation, rate limits or security controls;
• interfere with the availability or integrity of the portal or connected services;
• use automated tools to scrape, probe or overload the service without written permission;
• reverse engineer or misuse protected software except where the law expressly permits it;
• submit fraudulent reservations, payment records, identity information or transaction evidence; or
• use the portal for an unlawful, abusive, deceptive or rights-infringing purpose.

9. Intellectual property

The portal software, user-interface elements, ELALAN brand materials, text, graphics, property media and other protected materials are owned by or licensed to ELALAN unless stated otherwise. These Terms give you a limited, personal, revocable right to use the customer account for its intended purpose; they do not transfer ownership of ELALAN intellectual property.

You retain ownership of material you lawfully submit. You grant ELALAN the rights reasonably necessary to store, review, process, reproduce and share that material for the relevant account, transaction, compliance or support purpose.

10. Service availability and third-party services

We aim to keep the portal available and accurate, but maintenance, upgrades, network failures, service-provider outages, security incidents or other events may temporarily interrupt access. ELALAN may change, improve, replace or discontinue portal features where reasonably necessary.

Some services depend on third parties such as communications, hosting, identity-verification or payment providers. Their availability may affect a particular function. External links or third-party services may also be subject to their own terms and privacy notices.

11. Suspension, account closure and sign out

ELALAN may suspend or restrict access where reasonably necessary for security, suspected fraud, legal compliance, misuse, account review or protection of a transaction. Where appropriate, we will provide information about how to resolve the restriction.

Signing out ends the current authenticated browser session; it does not cancel reservations, remove an assignment, stop a payment obligation or delete your customer records. Other active devices remain signed in unless they are separately revoked. Account-data retention and deletion are governed by the Privacy Notice and applicable law.

12. Responsibility, statutory rights and limitation of liability

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded under applicable law. ELALAN remains responsible for obligations imposed by law and by formal transaction documents.

To the extent permitted by law, ELALAN is not responsible for losses caused solely by your failure to protect account credentials, inaccurate information supplied by you, unauthorised instructions originating from your compromised device, or events outside ELALAN's reasonable control. Any limitation in these Terms is subject to applicable consumer-protection and other mandatory law.

13. Changes, governing law and disputes

We may update these Terms when the portal, transaction processes or legal requirements change. Material changes will be communicated appropriately and a new acceptance may be required before continued use of affected services.

These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, please contact ELALAN first so the matter can be reviewed. If it cannot be resolved, the parties may pursue any rights available through the competent Nigerian courts or other lawful dispute-resolution process.
